Terms of Service

1. Nature of the Software

ShareSpider ("the Application") is a proprietary, closed-source macOS desktop application developed by Webdelo Studio ("Webdelo", "we", "our") for internal use by its team of PPC specialists, marketers, and analysts.

The Application is:

• Not commercially sold or licensed to the public.
• Not distributed through the Mac App Store or any public channel.
• Accessible only to individuals who have been explicitly authorized by the Webdelo administrator.

2. Access & Authorization

2.1 Administrator-Controlled Access

Access to ShareSpider is provisioned manually by the Webdelo administrator. No self-service registration, public sign-up, or automated onboarding exists.

2.2 Mandatory Authentication

The Application requires users to authenticate through an internal login form before any functionality becomes available. Credentials are created and managed by the administrator. Sharing credentials outside the authorized user pool is prohibited.

2.3 Revocation

The administrator reserves the right to revoke any user's access at any time, with or without cause. Upon revocation, the user must cease all use of the Application.

3. Authorized Use

ShareSpider is provided to authorized Webdelo team members solely for internal ad campaign analysis. Authorized uses include:

• Auditing landing page relevance against Google Ads campaigns.
• Analyzing Search Terms, keyword performance, and ad metrics.
• Generating internal performance reports.
• Monitoring campaign quality and lost budget metrics.
• Crawling client websites for landing page analysis within the scope of active campaigns.

4. Prohibited Use

Authorized users must not:

• Distribute, sublicense, lease, or share the Application or its binaries with any third party.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Application.
• Use the Application to access Google Ads accounts they are not authorized to manage.
• Modify the Application's read-only access scope to perform write operations on ad platforms.
• Use the Application's crawling features against websites without proper authorization from the website owner (as applicable under client agreements).
• Export or transmit campaign data outside of Webdelo's internal infrastructure.

5. Read-Only Operation

ShareSpider operates exclusively in read-only mode with respect to connected advertising platforms. The Application does not and cannot:

• Create, modify, pause, or delete campaigns, ad groups, ads, or keywords.
• Adjust bids, budgets, or targeting.
• Execute automated rules or scripts that alter account state.

This architectural limitation is by design and is not user-configurable.

6. Third-Party Platforms

ShareSpider integrates with Google Ads via the official Google Ads API. Use of Google Ads is governed by Google's own Terms of Service and API policies. Users are responsible for maintaining compliance with Google's terms when connecting their accounts.

7. Intellectual Property

The Application, including its code, design, algorithms, branding, and documentation, is the exclusive intellectual property of Webdelo Studio. These Terms do not grant any ownership rights to the user. All rights not expressly granted are reserved.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" FOR INTERNAL USE ONLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBDELO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE APPLICATION'S ANALYTICAL RECOMMENDATIONS ARE SUGGESTIONS ONLY AND DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBDELO STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE APPLICATION, INCLUDING LOST PROFITS, LOST AD SPEND, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Modifications to the Application

Webdelo reserves the right to modify, update, or discontinue the Application at any time. Updates may be distributed to authorized users at the administrator's discretion. These Terms may be updated accordingly.

11. Governing Law

These Terms are governed by the laws applicable to the jurisdiction in which Webdelo Studio operates. Any disputes shall be resolved internally or through the relevant legal channels in that jurisdiction.
